1. About These Terms #
These Terms constitute a legally binding agreement between you (the "Customer", "you", or "your") and Raphash Corporations Nigeria Limited ("Raphash", "we", "us", or "our"), the operator of this platform.
By creating an account, browsing our catalogue, requesting a quotation, placing an order, using our live chat, or otherwise interacting with the platform, you confirm that:
- You have read, understood, and agree to be bound by these Terms;
- You have also read and accepted our Privacy Policy, which is incorporated into these Terms by reference; and
- You have the legal capacity to enter into a binding contract under Nigerian law, or you are accessing the platform under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.
2. Definitions #
In these Terms, unless the context otherwise requires:

- "Order" means a request placed by a Customer to purchase Products.

- "FCCPA" means the Federal Competition and Consumer Protection Act 2018.
3. About Raphash #
Raphash is a multifaceted Nigerian company operating across agriculture, mining, construction, engineering and wellness. The platform provides an end-to-end commercial channel for our catalogue, including bulk agricultural commodities, raw materials, solid minerals, and select engineering supplies.
Product listings on the platform represent offers made by Raphash. Raphash operates as the merchant of record for every order placed on the platform. Any reference to third-party couriers, logistics partners, or payment processors does not imply a partnership or agency relationship beyond the specific service they provide to us.
4. Eligibility & Your Account #
4.1 Eligibility
To place an order on the platform you must:
- Be at least 18 years old, or have the consent of a parent or legal guardian;
- Provide accurate, current, and complete information during registration and checkout; and
- Not have been previously removed or blacklisted from the platform.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must notify us immediately at info@raphash.com if you suspect any unauthorised use of your Account.
4.3 Two-Factor Authentication
We strongly encourage you to enable two-factor authentication ("2FA") from your profile page. You may choose between a time-based one-time password app (such as Google Authenticator) and email-based codes. If you enable 2FA, you are solely responsible for safeguarding your recovery codes.
5. Products, Pricing & Availability #
5.1 Product Information
We make every reasonable effort to describe our Products accurately, including origin, specification, unit of measure, packaging, and stock status. Photographs are for illustrative purposes only; natural products such as agricultural commodities may vary in appearance from the images shown.
5.2 Pricing
All prices displayed on the platform are in Nigerian Naira (₦) unless otherwise stated. Prices are exclusive of delivery and any applicable taxes or levies, which are added at checkout.
5.3 Errors and Corrections
We reserve the right to correct any pricing, specification, or availability error on the platform at any time. If a Product is listed at an incorrect price, we will contact you before processing the Order and give you the option to confirm or cancel it. If we cannot reach you, the Order will be cancelled and any payment refunded.
5.4 Availability
Stock levels shown on the platform are indicative and not guaranteed. Availability is confirmed at the moment your Order is accepted. For bulk or forward-scheduled purchases, please contact us or submit a quotation request.
6. Ordering & Acceptance #
Every Order placed on the platform is an offer to buy. A binding contract of sale is only formed when we accept your Order — either by confirming payment received for the full Order value, or (for Pay Later orders) by expressly confirming the Order in writing through email, live chat, or the order status page.
We reserve the right to decline any Order where:
- the Product is out of stock or no longer available;
- the delivery address is outside our serviceable areas;
- there is a pricing or specification error on the platform;
- we reasonably suspect fraud, misuse of payment channels, or unlawful activity; or
- the Order exceeds agreed limits on part payment or credit terms.
If we decline an Order for any of the above reasons, we will notify you and refund any amount already paid in full, using the original payment method where possible.
7. Payment #
7.1 Payment Processor
Online payments are processed by Paystack. By paying online, you also agree to Paystack's terms of service and acceptable use policies. We do not store your card details on our servers.
7.2 Payment Methods
Depending on your account eligibility, the following methods may be available:
- Full payment via card, bank transfer, or USSD through Paystack;
- Part payment — an initial payment of at least 50% of the order total, with the balance payable before or on delivery, subject to the eligibility rule in Section 8;
- Pay Later — the order is confirmed but remains in pending payment until you complete payment, whether by bank transfer, cash, or online; and
- Cash on Delivery — offered at our sole discretion to qualifying customers on eligible orders.
7.3 Currency and Settlement
All settlements are made in Nigerian Naira. If your card or bank is denominated in another currency, any conversion is handled by your card issuer or bank, and any associated conversion charges are your responsibility.
7.4 Chargebacks
If you initiate a chargeback through your card issuer for a payment that has already funded an Order, we reserve the right to suspend your Account, cancel or recall any pending deliveries, and recover the amount plus any associated fees through lawful means.
8. Part-Payment Eligibility #
To qualify for part payment on future orders, your account must have completed at least one prior order that has been:
- fully paid (payment status
paid), and - successfully delivered (order status
delivered).
Cancelled, refunded, unpaid, failed, or partially-delivered orders do not qualify. Where you are eligible, the minimum initial payment is 50% of the order total; the balance is due before or on delivery. Raphash may at any time, acting in its sole discretion, extend, restrict, suspend, or revoke part payment for any account by notifying you through the platform or by email.
9. Delivery & Logistics #
9.1 Delivery Charge
Delivery is charged at checkout based on the total weight of your order and the applicable per-kilogram rate, or at the flat fee configured for the current period. The delivery fee shown at checkout is final for that Order.
9.2 Nigerian Delivery Only
9.3 Delivery Times
Estimated delivery windows are provided in good faith but are not guaranteed. Delivery may be delayed by factors outside our reasonable control, including but not limited to traffic, weather, force majeure, port or customs delays, or the actions of third-party couriers.
9.4 Risk and Title
Risk in the Products passes to you upon delivery to the address you provided, or (for international orders) upon handover to the port agent you appoint. Title in the Products passes to you only once payment in full has been received by Raphash.
10. Quotations & Negotiated Deals #
The platform provides a quotation workflow for bulk purchases, special quantities, long-term supply arrangements, and negotiated commercial terms. A quotation is a written price offer valid for the period stated on it (or, if no period is stated, for 14 days from the date it is issued).
Where a quotation is accepted by you and confirmed by Raphash, we may create a corresponding Order in the platform. Any negotiated price agreed for a specific Order applies only to that Order; it does not modify the catalogue price of the Product for other customers or future purchases.
11. Cancellations, Returns & Refunds #
11.1 Cancellation by You
You may cancel an Order before it has been marked out for delivery by contacting us through live chat, email, or the order page. Once an Order is in transit or has been delivered, cancellation is no longer available.
11.2 Returns
Due to the perishable or bulk nature of many Products we sell, returns are accepted only where the Products are materially different from their description, are damaged in transit, or are short-delivered. Please inspect goods on receipt and raise any concern within 24 hours of delivery for agricultural commodities, or 7 days for non-perishable items.
11.3 Refunds
Approved refunds are processed through Paystack to the original payment method where possible. Depending on your bank or card issuer, funds typically appear within 5 to 10 business days. Where the original method is unavailable, we will contact you to arrange an alternative.
12. Acceptable Use & User Content #
You agree not to use the platform to:
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- submit false, misleading, or fraudulent information in any form, chat, quotation, or review;
- upload or transmit viruses, malware, or any code designed to disrupt or damage the platform;
- scrape, harvest, or systematically extract data from the platform without our prior written consent;
- attempt to gain unauthorised access to any part of the platform or its underlying infrastructure; or
- engage in any activity that is unlawful under Nigerian law or under the laws applicable to you.
Content you submit (such as a review, comment, or chat message) remains yours, but by submitting it you grant Raphash a non-exclusive, royalty-free, worldwide licence to display, reproduce and distribute that content in connection with operating and promoting the platform.
13. Intellectual Property #
All trade marks, logos, product photographs, site code, page design, catalogue compilations, written descriptions, and other material on the platform are the property of Raphash or are used under licence. You may not copy, reproduce, modify, distribute, or create derivative works from any such material without our prior written consent, except as reasonably necessary to use the platform for its intended purpose.
14. Availability & Warranties #
We aim to keep the platform available at all times, but we do not warrant that access will be uninterrupted, timely, or error-free. Scheduled maintenance, network failures, third-party outages (including Paystack and email delivery), and events of force majeure may temporarily interrupt access.
Subject to any statutory warranties that cannot be excluded under Nigerian law (including the implied warranties of the FCCPA), the platform and its Content are provided "as is" and Raphash disclaims all other warranties, whether express or implied.
15. Limitation of Liability #
To the maximum extent permitted by Nigerian law, Raphash and its officers, employees, agents and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or business opportunity, arising out of or in connection with your use of the platform.
Our total aggregate liability to you for any claim arising out of these Terms or the platform shall not exceed the greater of (a) the total amount paid by you to Raphash in the twelve (12) months preceding the claim; or (b) ten thousand Nigerian Naira (₦10,000).
Nothing in these Terms limits or excludes our liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability which cannot be lawfully limited or excluded.
16. Indemnity #
You agree to indemnify, defend and hold harmless Raphash and its officers, employees, and agents from and against any claim, liability, loss, damage, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the platform, or your violation of any law or the rights of a third party.
17. Suspension & Termination #
We may suspend, disable, or permanently remove your Account if we reasonably believe you have breached these Terms, engaged in fraud or abuse, or otherwise exposed the platform or its users to risk.
Where your Account is blacklisted, we may also record your email address on an internal blacklist to prevent the creation of new accounts. The blacklist is used strictly for fraud-prevention purposes and is retained in accordance with our Privacy Policy.
You may delete your Account at any time by contacting us. Where you have outstanding Orders or unpaid balances, your obligations under these Terms survive until those Orders are fully settled.
18. Governing Law & Disputes #
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles.
The parties will use their best efforts to resolve any dispute amicably through good-faith negotiation. If a dispute cannot be resolved within thirty (30) days of written notice, either party may refer the matter to the exclusive jurisdiction of the courts of Nigeria, sitting in Benue State, without prejudice to any statutory right of a consumer to bring proceedings in a court of competent jurisdiction in their place of residence.
19. Changes to These Terms #
We may update these Terms from time to time to reflect changes in our services, our operations, or applicable law. When we do, we will update the "Last reviewed" date at the top of this page and, where the change is material, provide notice through the platform or by email.
Your continued use of the platform after the effective date of a revised version constitutes acceptance of the revised Terms.
